Role: Sr. Associate Attorney or Partner
Location: Washington, DC - hybrid and fully remote candidates will be considered
We are looking for a skilled Attorney/Lawyer to join our client's team in Washington, District of Columbia. This position involves providing expert legal counsel to government contractors and commercial businesses, with a specific focus on mergers and acquisitions (M& A) and federal government contracts. The ideal candidate will collaborate with a dedicated team to deliver tailored solutions for complex legal challenges.
Responsibilities:
• Advise clients on legal matters related to mergers, acquisitions, and business restructurings, including asset and equity transactions.
• Assist in drafting, reviewing, and negotiating purchase agreements, financing documents, and other transaction-related contracts.
• Conduct due diligence, oversee transaction closings, and manage post-closing notices and certifications.
• Provide legal guidance on entity formation, structuring, and the drafting of governance agreements such as LLC agreements, shareholder agreements, and partnership agreements.
• Support clients in compliance with federal government contracting regulations, including the Federal Acquisition Regulation (FAR).
• Address issues related to federal small business programs, such as 8(a), HUBZone, and other certifications.
• Draft and review teaming agreements, subcontracts, and other partnership arrangements.
• Offer strategic advice on executive compensation, synthetic equity offerings, and financing rounds involving private equity and venture capital.
• Handle investigations and compliance matters, including those related to the False Claims Act and federal procurement law.
The following experience is required:
• Minimum of 4-6 years of legal experience, with a strong focus on government contracts and M& A transactions.
• Expertise in federal government contracting regulations, including familiarity with the Federal Acquisition Regulation (FAR).
• Proven ability to manage complex legal processes, including due diligence and transaction closings.
• Strong negotiation and communication skills, with a high level of attention to detail.
• Experience with federal small business programs, such as 8(a) and HUBZone.
• Admission to the District of Columbia Bar or eligibility for prompt admission.
• Knowledge of executive compensation structures and synthetic equity arrangements is a plus.
• Ability to work collaboratively in a fast-paced, team-oriented environment.
